continues to change rapidly across the GCC and Middle East in response to Base Erosion and Profit Shifting (BEPS) actions issued by the Organization for Economic Co-operation and Development (OECD), posing challenges to taxpayers in areas including:\n<ul>\n \t<li>OECD Inclusive Framework\u2019s agreement on taxing the digitalized economy and a global minimum income tax, commonly referred to as Pillar Two<\/li>\n \t<li>The continued roll out of the implementation of VAT across countries in the GCC<\/li>\n \t<li>The introduction of excise tax in the GCC<\/li>\n \t<li>The implementation of Transfer Pricing (TP) documentation and Country-by-Country Reporting (CbCR) obligations for multinationals based in and\/or operating from certain GCC countries in compliance with BEPS Action class=\"lastudio-table__cell-text\">Zain\u2019s Response<\/div><\/div><\/div><\/th><\/tr><\/thead>\n                <tbody class=\"lastudio-table__body\"><tr class=\"lastudio-table__body-row class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\"><h5>OECD Inclusive Framework reaches political agreement on taxing the digitalized economy and a global minimum corporate income tax rate. <\/h5>\nSince 2017, the 141 member countries of the Inclusive Framework have been jointly developing a \u2018two-pillar\u2019 approach to address the tax challenges arising from the digitalization of the economy. This led to the publication of two detailed \u2018Blueprints\u2019 in October 2020 on potential rules for addressing nexus and profit allocation challenges (Pillar One) and for global minimum tax rules (Pillar Two).\n<br><br>\nPillar Two introduces a minimum effective tax rate of at least 15%, calculated based on a specific rule set, and applies to groups with revenues of at least EUR 750 million (USD 887 million). We note that the statutory corporate income tax rates in a number of GCC countries are below the proposed global minimum tax rate of 15%.\n<br><br>\nThe OECD estimates that under Pillar One, taxing rights on more than USD 125 billion of profit will be reallocated to market countries each year. The global minimum Corporate Income Tax (CIT) under Pillar Two \u2013 with a minimum rate of at least 15% \u2013 is estimated to generate around USD 150 billion in additional global tax revenues annually.\n<br><br>\nCountries that do not currently levy a CIT or have effective tax rates below the proposed global minimum tax rate of 15% will have to make some key decisions to address the new rule.\n<br><br>\nAn ambitious and challenging timetable has been set with plans for both Pillar One and Pillar Two to apply from 2023.<\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-99026d4 lastudio-table__body-cell\"><td class=\"lastudio-table__cell elementor-repeater-item-f0c5872 lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\">Zain is closely monitoring the development around Pillar Two, as its implementation may have a significant effect on the regional tax landscape.\n<br><br>\nAlthough the details of Pillar Two are yet to be finalized, Zain is working with its advisors to understand the range of implications on the Group\u2019s business. <\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-f0c5872 lastudio-table__body-cell\"><\/tr><tr class=\"lastudio-table__body-row elementor-repeater-item-7a16852\"><td class=\"lastudio-table__cell elementor-repeater-item-6a6a00a lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\"><h5>BEPS Action items<\/h5>\nThe transfer pricing documentation and Country-by-Country Reporting are gaining good momentum within the GCC region. Certain GCC countries have also implemented the Economic Substance requirements in compliance with BEPS Action 5.<\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-6a6a00a lastudio-table__body-cell\"><td class=\"lastudio-table__cell elementor-repeater-item-e1b108e lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\">Zain continues to employ professionals who are responsible for its tax affairs in every country in which the company operates. Zain\u2019s tax teams follow a clearly defined set of principles and behaviors, along with Zain Tax Strategy, Tax Code of Conduct and Tax Risk Management Policy, which are also aligned with Zain Group\u2019s Code of Conduct.\n<br><br>\nIn response to OECD\u2019s BEPS Action items, and the rapid changes in the tax landscape in the region, Zain continues to take the necessary steps to comply with the applicable standards in the various jurisdictions of operation. For example:\n<ul>\n<li>\nIn response to Action 13 in relation to TP documentation and CbCR, Zain developed an in-house capability through designing an affective targeted policy for compliance, specifically:\n<ul>\n\n<li>Local File (LF) and Master File (MF) have been prepared and are being updated on an annual basis.<\/li>\n<li>CbC report is prepared on an annual basis and filed with the relevant tax authorities in compliance with regulations.<\/li>\n<\/ul>\n<li>In response to the ES requirements (Action 5), Zain ensured full compliance as per the local regulations in the relevant countries. <\/li>\n<\/ul><\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-e1b108e lastudio-table__body-cell\"><\/tr><tr class=\"lastudio-table__body-row elementor-repeater-item-e2c5c1e\"><td class=\"lastudio-table__cell elementor-repeater-item-ab17065 lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\">The government of Kuwait is looking at introducing significant economic and financial reforms to improve the state\u2019s growing deficits. The introduction of valued-added tax (VAT) and excise tax form part of the initiatives being proposed by the government. This is in line with the recommendations of international bodies, such as the World Bank and the International Monetary Fund.\n<br><br>\nThe Kuwaiti government has proposed the introduction of excise tax in 2022 and VAT in 2023. It is estimated that Kuwait would be able to raise an additional tax revenue of KD 1.7 billion (approx. USD 5.6 billion) by 2025 following the introduction of the above taxes.<\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-ab17065 lastudio-table__body-cell\"><td class=\"lastudio-table__cell elementor-repeater-item-f9e040d lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\">Zain Kuwait will continue to monitor this matter and ensure full compliance in accordance with the related laws and regulations.<\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-f9e040d lastudio-table__body-cell\"><\/tr><tr class=\"lastudio-table__body-row elementor-repeater-item-8fdb3e2\"><td class=\"lastudio-table__cell elementor-repeater-item-329d3ba lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\"><h5>Double Tax Treaties<\/h5>\n<ul>\n<li>The double tax treaty (DTT) between Saudi Arabia and the United Arab Emirates (UAE) entered into force on April 1, 2019 and was effectively applied from January 1, 2020. It is the first such agreement between GCC members.<\/li>\n<li>Officials from Kuwait and the UAE met on June 15, 2021, to discuss bilateral relations, including the negotiation of a tax treaty.<\/li>\n<li>The double tax treaty that was signed between the UAE and Iraq in 2017 was ratified by the UAE on April 10, 2018 and by Iraq on September 16, 2019. However, it has not entered into force as of the date of this report.<\/li>\n<li>On May 12, 2019, officials from Kuwait and Iraq signed a DTT, however, it has not been ratified as of the date of this report.<\/li>\n<\/ul><\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-329d3ba lastudio-table__body-cell\"><td class=\"lastudio-table__cell elementor-repeater-item-6d4b508 lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\">Zain will implement the applicable provisions of the new DTT.<\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-6d4b508 lastudio-table__body-cell\"><\/tr><tr class=\"lastudio-table__body-row elementor-repeater-item-8892008\"><td class=\"lastudio-table__cell elementor-repeater-item-5fddec6 lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\">During 2021, the tax authority in Jordan imposed social contribution tax to support the budget deficit, as follows:\n<ul>\n<li>3% on taxable income of banks and electricity distribution and generation companies.<\/li>\n<li>7% on taxable income of basic materials mining companies.<\/li>\n<li>4% on taxable income of financial brokerage companies, financial companies and legal persons engaged in finance leasing activities.<\/li>\n<li>2% on taxable income of telecommunications, insurance and re-insurance companies.<\/li>\n1% on taxable income of other companies and sectors.\n<\/ul><\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-5fddec6 lastudio-table__body-cell\"><td class=\"lastudio-table__cell elementor-repeater-item-49e4101 lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\">Zain Jordan has complied with the relevant changes.<\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-49e4101 lastudio-table__body-cell\"><\/tr><tr class=\"lastudio-table__body-row elementor-repeater-item-b2d1298\"><td class=\"lastudio-table__cell elementor-repeater-item-e7e7168 lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\">During 2021, the authorities in Iraq introduced the tax reform initiative as part of The White Paper project presented by the Cabinet.<\/div><\/div><\/div><\/class=\"lastudio-table__cell elementor-repeater-item-e7e7168 lastudio-table__body-cell\"><td class=\"lastudio-table__cell elementor-repeater-item-def3691 lastudio-table__body-cell\"><div class=\"lastudio-table__cell-inner\"><div class=\"lastudio-table__cell-content\"><div class=\"lastudio-table__cell-text\">Zain Iraq has been attending meetings and workshops with the Ministry of Finance (MoF) and presented its proposals to assist in the success of this tax reform initiative.
